Rahul Deodhar is a Partner in the Firm's General Corporate, M&A, Private Equity and Venture Capital practice and operates out of the firm’s Mumbai office. He has more than 15 years of experience. His areas of practice include mergers and acquisitions, joint ventures, private equity and venture capital transactions, corporate restructuring and reorganizations, employment and labour laws, general corporate and commercial transactions. Rahul has been advising large domestic companies, multinational corporations, private equity firms, venture capital funds, start-ups and early stage emerging companies.
Rahul also regularly advises domestic and multinational clients on a broad range of employment and labour law matters, including the new labour codes, and provides end-to-end implementation support. His experience includes conducting gap assessments, reviewing and restructuring remuneration structure, employment policies and documentation, and developing compliance strategies.
Rahul also assists clients with conducting gap assessments under the DPDP framework and provides support with its implementation.
Rahul works closely with his clients, who value his proactiveness, experience, problem-solving abilities, and his ability to understand the complexities involved in a transaction.
Before joining the Firm, Rahul was a Partner with J. Sagar Associates (JSA), and he has previously worked with Desai & Diwanji and KPMG.
- Advised Everest International Holding Limited for setting up a joint venture with Varun Beverages Limited in India to manufacture visi-coolers and other refrigeration equipment.
- Advised Oricon Enterprises Limited on divesture of its business of manufacturing, trading and sale of metal crown seals and roll on pilfer proof closures to Guala Closures, Italian conglomerate in the production of closures.
- Advised Mehta Equities Limited, a SEBI-registered stock broker, depository participant, research analyst and portfolio manager, in connection with its acquisition by Plus500 Ltd.
- Advised a leading international technology group, on employment law issues arising from a business transfer transaction, including employee transfer arrangements, continuity of service and workforce transition matters.
- Advised a multinational bank for its Indian operations, on the new labour codes, including restructuring employee remuneration in compliance with the Code on Wages, 2019.
- Advised a leading multinational technology conglomerate on reviewing and aligning its platforms technologies terms of service, platforms technologies privacy policy, store terms, credit terms, gift card terms and conditions and refund policy terms with the DPDP framework in India, in connection with a launch of a new product.
- Advised an Indian global capability centre of a leading global ticketing and live entertainment company, on drafting and reviewing employment agreements, employee policies and workplace compliance documentation.
- Advised a global business advisory and professional services organization, on employment law issues arising under the new labour codes, including fixed-term employment, contractor engagement structures, gratuity entitlements and restructuring employee remuneration in compliance with the Code on Wages, 2019.
- Advised Yaap Digital Limited on its acquisition of majority stake in Gozoop Online Private Limited.
- Advised Harsoria Healthcare Private Limited on its fund raise from Tata Capital Healthcare Fund II and other investors.
- Advised the promoters of Vayudh (the defence arm of BotLab Dynamics Private Limited) in raising funds from Dharana Capital and its affiliates.
- Advised several venture capital investors like BASF Venture Capital GmbH, IDFC Parampara Early Stage Opportunities Fund, Inflexor Ventures, Fosun RZ Capital, Kalaari Capital, Omnivore Capital, Anicut Capital, Pavestone VC, and several private equity investors on their investments in portfolio companies.
- Advised CX Partners in the pre-IPO investment round lead by Creador, NewQuest and TR Capital in Sapphire Foods (a major franchisee of YUM! Brands in India).
- Advised Lok Capital on its partial exit from Veritas Finance Pvt. Ltd. (Veritas) to Multiples Private Equity Fund and Avendus Future Leaders Fund., and Series G funding round in Veritas.
- Advised Vijaya Diagnostic Centre Ltd on its acquisition of PH Diagnostic Centre.
- Advised ASG Eye Hospital on its acquisition of controlling stake in Envision Eye Hospital.
- Advised Symed Labs Ltd and its promoters on selling their controlling stake in Symed Labs Ltd to Carlyle.
- Advised the promoters of CIIGMA Hospitals on selling their controlling stake in CIIGMA Hospitals to CARE Hospitals.
- Advised Raj Petro Specialities and its promoters on selling their controlling stake in Raj Petro Specialities to Brenntag AG.
- Advised Anjan Drug Pvt Ltd (Anjan) and its promoters on selling their controlling stake in Anjan to CX Partners, Samara Capital and PAG Asia Capital.
- Advised IJM Group on sale of its controlling stake in Jaipur Mahua Tollway road project to I Squared Capital.
- Advised Thalappakatti Hotel Pvt Ltd (Dindigul Thalappakatti Biryani) (THPL) and its promoters on selling their controlling stake in THPL to CX Partners.
