Pallavi is a Partner of Phoenix Legal who specializes in the area of Projects, Energy and Infrastructure and Project Finance.

Pallavi advises clients through all phases of the development, construction, financing, and investment in energy projects (including power (conventional and clean energy), oil and gas, LNG, mining), transportation projects (including, railways, ports, airports) and other infrastructure projects. She draws on two decades of experience to regularly advise: project developers and sponsors, investors, energy companies, government, commercial banks and other financial institutions.

Pallavi has advised on diverse Energy projects, such as Power projects (both Conventional & Renewable Energy), upstream developments in oil & gas (including on Production sharing Contracts and Joint Operating Agreements), LNG (Liquefied Natural Gas) Projects (including LNG sale & purchase agreements) and Mining projects (including mining agreements and offtake agreements).

She has been advising domestic and international borrowers & lenders on multiple Project Finance deals. In addition, she advises clients on concession agreements, PPP framework, gas sale & purchase agreements, power purchase agreement, off take agreements, EPC (Engineering, Procurement & Commissioning) contracts and O&M (Operations & Maintenance) contracts in relation to diverse projects.

Prior to joining Phoenix Legal, Pallavi was a partner at Luthra and an Equity Partner at JSA. In addition to working in the Indian market, she has experience of working in London with Mayer Brown International LLP. While her time in London, amongst others, she extensively worked on development and financing of mining projects located in Africa and Europe.

An indicative list of some transactions undertaken by her in the energy and infrastructure sector is as follows:

  • Advised Petroleum Nasional Berhad in its acquisition of Amplus Energy Solution Pte. Ltd which is the holding company for entire solar energy business including inter alia solar power projects (both rooftop and open access), EPC and O&M business etc.
  • Advised STOA, a French infrastructure and power investment company, on its windfarm platform joint venture in India, intending to set-up over 2 GW capacity in India.
  • Advising Aljomaih Energy and Water India Private Limited in relation to drafting, negotiating and finalizing project term sheets and agreements including those in relation to EPC, O&M, supply of modules and transmission line related works for a solar project in Rajasthan and Gujarat.
  • Advising RITES (and Railway Board) on the first of its kind project on privatization of passenger train operations on PPP basis; wherein private entities would be granted concessions to operate passenger trains on 12 clusters/routes.
  • Advising Fortum on its fund raise commencing from conducting a vendor due diligence with respect to its India subsidiaries owning solar project in various states in India.
  • Advised India Grid Trust in relation to its potential acquisition of a company owning and implementing a solar power project in Gujarat (ongoing and confidential);
  • Advising NITI Aayog in relation to drafting and review of model concession documents - agreements, requests for qualification and requests for proposal, review of concession documents received from ministries/ government departments for PPP projects; .
